Terms of Service

These Terms of Service ("Terms") govern your access to and use of Sales.You and related services (the "Services") provided by Mass Technologies ("Mass Technologies", "we", "us"). By using the Services you agree to these Terms.

1. Acceptance of terms

By creating an account, accessing, or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy and Acceptable Use Policy. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization.

2. Eligibility and accounts

  • You must be at least 18 years old and able to form a binding contract.
  • You are responsible for the accuracy of your account information and for all activity under your account.
  • You must keep your credentials confidential and notify us promptly of any unauthorized use.

3. Subscriptions, billing, and renewals

  • Paid plans are billed in advance on a recurring basis (monthly or annually) through our payment processor.
  • Subscriptions renew automatically unless cancelled before the end of the current term.
  • Fees are exclusive of taxes, which you are responsible for where applicable.
  • Except where required by law, payments are non-refundable. We may change pricing on prospective renewals with notice.

4. Acceptable use

Your use of the Services must comply with our Acceptable Use Policy. We may suspend or terminate access for violations, security risks, or unlawful activity.

5. Intellectual property

The Services, including all software, content, and trademarks, are owned by Mass Technologies or its licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms. You retain ownership of content you submit ("Customer Content") and grant us a license to host and process it solely to provide the Services.

6. Customer content and responsibilities

  • You are responsible for your Customer Content and for having the rights and consents needed to use it.
  • You must not upload unlawful, infringing, or harmful content, or data you are not permitted to process.
  • We may remove content or suspend accounts that we reasonably believe violate these Terms or the law.

7. Third-party services

The Services may integrate with third-party products. Your use of those products is governed by their own terms, and we are not responsible for them.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or secure.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MASS TECHNOLOGIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Mass Technologies and its officers, employees, and agents from any claims, damages, and expenses arising out of your use of the Services, your Customer Content, or your violation of these Terms or applicable law.

11. Suspension and termination

You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, create risk or legal exposure, or fail to pay fees. Upon termination, your right to use the Services ends; sections that by their nature should survive will survive.

12. Governing law and venue

These Terms are governed by the laws of the State of Florida, United States of America, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Florida for any dispute not subject to arbitration, where permitted by law.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with a new "Last updated" date and, where required, communicated to you. Continued use after changes take effect constitutes acceptance.
